These terms govern access to SubHorizon and the workflows builders use to track recurring software spend and billing activity.

Short version

These terms explain the rules for using SubHorizon, the responsibilities attached to your account, and the limits around billing, acceptable use, and liability. They are written to cover the product as it exists today, including analytics features and third-party integrations.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of SubHorizon, including our web application, mobile experiences, and any related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use immediately.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using SubHorizon, you represent and warrant that you meet these eligibility requirements.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access or misuse.

4. Subscription Plans & Billing

  • Paid plans will automatically renew unless canceled before the renewal date.
  • Fees are non-refundable except where required by law or explicitly stated otherwise.
  • We may adjust pricing or plan features with advance notice via email or in-app messaging.

5. Acceptable Use

You agree not to misuse the Service or assist others in doing so. Prohibited conduct includes, but is not limited to:

  • Reverse engineering or attempting to access the Service's underlying source code.
  • Uploading malicious code, automated scripts, or excessive requests that impact stability.
  • Harvesting data or personal information without consent.
  • Using the Service for unlawful, fraudulent, or abusive purposes.

6. Data & Intellectual Property

SubHorizon retains all rights, title, and interest in the Service, including design, functionality, and underlying technology. You retain ownership of the subscription data you add to the platform. We may use aggregated, anonymized insights to improve the Service.

7. Automated Analytics

Some features provide automated spend summaries and trend signals. These outputs are informational and may not reflect every edge case. You remain responsible for verifying data before making financial decisions.

8. Third-Party Integrations

The Service may integrate with third-party tools (for example, banks, payment processors, or calendar providers). Your use of those integrations is subject to their respective terms and privacy practices. We are not responsible for third-party services or their availability.

9. Suspension & Termination

We may suspend or terminate your account if we detect suspicious activity, a breach of these Terms, non-payment, or behavior that risks the security of our users or infrastructure. You may terminate your account at any time through your settings or by contacting support.

10. Disclaimers

The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied. SubHorizon disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, SubHorizon and its affiliates will not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits or revenues arising from your use of the Service. In no event will our aggregate liability exceed the amount you paid in the six months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Wilmington, Delaware.

13. Changes to These Terms

We may modify these Terms from time to time. If changes are material, we will provide notice through the Service or via email. Your continued use after the effective date of the updated Terms constitutes acceptance.
